1. The Services
Nico AI LLC ("Nico AI") provides PrismHR-integrated software products for Professional Employer Organizations (PEOs), including:
- PEO Chat Bot: An AI-powered chatbot integration for the PrismHR Employee Portal that allows employees to query HR data and search PEO-uploaded documents via a conversational interface.
- Expense Management (ExpensePath): A multi-tenant expense reporting platform with approval workflows, policy enforcement, receipt management, and integrations with PrismHR payroll and accounting systems (QuickBooks).
- Nico ATS: A multi-tenant applicant tracking system for PEOs and their client employers to post jobs, receive applications, schedule interviews, run background checks, and communicate with applicants by email and SMS.
2. Commercial Terms
- Fees: Per-employee-per-month (PEPM) pricing, billed monthly in arrears. Rates are specified in your service agreement.
- Payment: Net 30 days. Late payments may result in service suspension.
- Taxes: Prices are exclusive of any applicable sales or use taxes.
3. Intellectual Property and Use Rights
- License: Nico AI grants Client a limited, non-exclusive license to use the Services during the term of the agreement.
- Ownership: Nico AI retains all rights to its code, AI prompts, and platform. Client retains ownership of all uploaded documents, expense data, and company content.
4. Liability and Indemnification
- Disclaimer:The Services are provided "as-is." Nico AI is not responsible for errors in AI-generated responses, accounting export discrepancies, or third-party outages (PrismHR, Anthropic, accounting platforms, etc.).
- Cap on Liability: Total liability is limited to the fees paid by the Client in the 12 months preceding a claim.
5. Termination
Either party may terminate this agreement with 30 days' written notice. Upon termination, Nico AI will delete all uploaded documents, expense data, and stored credentials within 30 days.
6. SMS Messaging Program (Nico ATS)
The following terms apply to the SMS messaging program operated by Nico AI LLC as part of Nico ATS. By providing your mobile phone number and checking the SMS consent box on a Nico ATS job application form, you agree to these terms.
- Program name: Nico ATS Applicant Messaging.
- Program description:Nico ATS sends SMS messages on behalf of the employer to which an applicant has applied. Message types include: application received confirmations, interview invitations and scheduling, interview reminders, application status updates, and direct messages from the employer's recruiters or hiring managers.
- How to opt in:Applicants opt in by submitting a job application on an employer's Nico ATS career site, providing a mobile phone number, and affirmatively checking the SMS consent checkbox on the application form. The checkbox is not checked by default.
- Message frequency: Message frequency varies depending on the stage of the application and the activity of the hiring employer. There is no fixed cadence.
- Cost: Standard message and data rates may apply. Nico AI does not charge applicants for messages, but your wireless carrier may. Contact your carrier for details on your messaging plan.
- Opt-out (STOP): Reply STOP to any message at any time to unsubscribe. You will receive a single confirmation that you have been unsubscribed and will not receive further SMS messages from Nico ATS unless you opt in again. Additional opt-out keywords accepted: STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT.
- Help (HELP): Reply HELPat any time for support. You may also contact your employer's hiring team or email harry.demere@gmail.com.
- Carriers: Supported on all major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.
- Privacy: Mobile phone numbers and SMS opt-in information are handled in accordance with our Privacy Policy. We do not sell, rent, share, or otherwise disclose phone numbers or SMS opt-in information to third parties for marketing purposes.
